Terms of Service

• "Zarvix", "we", "us" = Zarvix AI Private Limited, a private company limited by shares incorporated under the Companies Act, 2013 (CIN U62011PN2025PTC248729), having its registered office at Gate No. 183, Plot No. 01, Flat No. 408, D-Wing, Baramati, Pune – 413102, Maharashtra, India.
• "Platform" = the Zarvix AI website, apps, AI assistant, strategy builder, backtesting, research, and (where enabled) live-execution features.
• "You", "User" = the person or entity that accesses the Platform.
• "Content/Output" = anything the Platform or its AI generates — strategies, suggestions, analyses, backtest results, research.

By creating an account or using the Platform you agree to these Terms, the Risk Disclosure (§B) and the Privacy Policy. If you do not agree, do not use the Platform. You confirm you are at least 18, legally competent to contract, and (if acting for an entity) authorised to bind it. Continued use after we post updated Terms means you accept them.

Zarvix is software tooling to help you research, build, and backtest your own trading strategy ideas, and — for eligible users — to route orders to your own broker terminal.

Zarvix is NOT, and does not act as, an investment adviser, research analyst, portfolio manager, stock broker, sub-broker, or authorised person under SEBI regulations. Zarvix does not provide investment advice, recommendations, tips, or solicitations, has no fiduciary duty to you, and does not manage money or hold client funds or securities. Nothing on the Platform is a recommendation to buy, sell, or hold any security.

• Research, backtesting, and AI strategy building are the services offered in this Research Preview. Results are informational and hypothetical (see §5, §6, §B).
• Live trading / order execution is NOT offered in the Research Preview. The Platform does not place orders, does not connect to a broker, and does not touch your funds or securities in this preview. Any future live-execution capability (for eligible proprietary/institutional users, via their own broker terminal) will be governed by additional terms and is not part of, or available in, this preview.

All Content/Output — including anything generated, suggested, ranked, or steered toward by the AI, and including any language about "edge", "alpha", or improving a strategy — is general information and educational tooling only. It is not investment advice, a recommendation, or a solicitation, and must not be relied on as such. You are responsible for evaluating any idea yourself and/or consulting a SEBI-registered adviser. The AI helps you express and test your own ideas; it does not tell you what to trade.

The AI may produce output that is inaccurate, incomplete, outdated, misleading, or entirely fabricated ("hallucinated"), including invented figures, strategies, or reasoning. AI output is provided "as is" for informational purposes only. Always verify AI output independently before relying on it or trading. We do not warrant the accuracy, completeness, or suitability of any AI Content/Output.

Backtested, simulated, and hypothetical results shown on the Platform have inherent limitations: they are computed with the benefit of hindsight, do not represent actual trading, and do not reflect real-world execution factors such as liquidity, slippage, latency, order rejections, and the full impact of costs and taxes. Past performance and simulated/hypothetical performance are NOT indicative of, or a guarantee of, future results. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.

Trading and investing in securities, derivatives, futures, and options involves substantial risk of loss, including the total loss of your capital, and is not suitable for everyone. Derivatives are especially high-risk. You should trade only with capital you can afford to lose. Volatility, gaps, illiquidity, and technical/market disruptions can cause losses exceeding expectations.

Market data, reference data, and third-party data on the Platform may be inaccurate, delayed, incomplete, or unavailable. We provide data "as is" without warranty of accuracy, timeliness, or completeness, and are not liable for reliance on it.

The Platform is provided "as is" and "as available." It may contain errors, bugs, glitches, or defects, and may experience downtime, interruptions, delays, or data loss. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Automated systems, including order-related features, may fail; you must monitor your own positions and orders.

• You are solely responsible for your strategies, your decisions, your orders, and your resulting profits and losses.
• Every live order requires your explicit confirmation. The Platform never places a live order without your confirmation and never trades autonomously on your behalf.
• You are responsible for your own broker relationship, account, margins, and segment activations, and for complying with all laws, exchange rules, and SEBI regulations that apply to you.
• You are responsible for the security of your account credentials and broker/XTS credentials.

We make no guarantee, representation, or warranty of any profit, return, or outcome. All profits and all losses arising from your use of the Platform are entirely yours. Zarvix is not responsible or liable for any trading loss, lost profit, or any profit-and-loss outcome resulting from strategies built, tested, suggested, or executed using the Platform.

• To the maximum extent permitted by law, the Platform and all Content/Output are provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
• To the maximum extent permitted by law, Zarvix, its directors, employees, and suppliers shall not be liable for any trading or investment losses, lost profits, loss of data, or any indirect, incidental, special, consequential, or punitive damages arising from or related to the Platform, the AI, the data, any technical error or glitch, or any Content/Output — even if advised of the possibility.
• Aggregate liability cap: our total aggregate liability for any and all claims shall not exceed the total fees you paid to Zarvix in the 3 months preceding the event giving rise to the claim (or ₹5,000 if no fees were paid).
• Carve-out (required): nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability for fraud, or for gross negligence or wilful misconduct, or your non-excludable statutory rights (including under the Consumer Protection Act, 2019).

You agree to indemnify and hold harmless Zarvix from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use or misuse of the Platform, your trades, your breach of these Terms, or your violation of any law or third-party right.

Zarvix owns the Platform, its engine, models, and all related IP. You retain ownership of the strategies and data you create; you grant us a limited licence to process them to provide the service. You may not copy, reverse-engineer, scrape, resell, or create derivative works of the Platform.

Access is by subscription. Current plans, features, and prices (inclusive of applicable GST) are shown on our pricing page, and a free tier may be offered; there is no separate "credits" purchase. Fees are payable in advance and, except where required by law, are non-refundable.

Prices and plans are subject to change. We may change subscription prices, plan tiers, and what each plan includes at any time. Price changes apply prospectively — they take effect from your next billing period, never retroactively to a period you have already paid for — and we will give reasonable notice (e.g., email or in-app) before a price increase takes effect. Continuing your subscription after a change takes effect constitutes acceptance; if you do not accept, you may cancel before your next renewal.

Usage allowances may change. Each plan includes usage allowances — including the AI usage quota/allowance and other fair-use limits — which we may modify, increase, decrease, or restructure in the future (for example, to reflect changes in underlying AI/infrastructure costs or to prevent abuse). Allowance changes likewise apply prospectively from your next billing period, with reasonable notice for material reductions to a paid plan. Allowances are provided on a per-billing-period basis, do not roll over, and have no cash value.

We may suspend or terminate accounts for breach, suspected fraud, or non-payment.

Your data is handled per our Privacy Policy and India's Digital Personal Data Protection Act, 2023. In summary: your chat/strategy data is used to provide the service; AI processing runs with provider-side retention disabled; conversation data is encrypted and retained only for a limited period; you may request erasure of your account and personal data (financial/audit records may be retained where legally required). You will not use the Platform for any unlawful purpose, for market manipulation or any activity prohibited by SEBI or the exchanges, to abuse or overload the systems, to scrape or reverse-engineer, or to build a competing product.

We may suspend or terminate access at any time for breach or to comply with law. You may stop using the Platform at any time. Sections that by their nature survive (disclaimers, liability limits, indemnity, IP, governing law) survive termination.

We may update these Terms; the version and effective date are recorded, and material changes will be notified. Continued use after the effective date constitutes acceptance.

These Terms are governed by, and construed in accordance with, the laws of India. Subject to the below, the courts at Pune, Maharashtra shall have exclusive jurisdiction over any dispute.
